This Confidentiality Agreement (“Agreement”) is made effective as of [Effective Date], between the Disclosing Party and the Receiving Party, for the purpose of protecting certain confidential information disclosed during discussions regarding [Purpose of Disclosure].
For the purposes of this Agreement, “Confidential Information” means any data or information that is proprietary to the Disclosing Party and is not generally known to the public, including but not limited to business plans, financial information, and technical data.
The Receiving Party agrees: (i) to maintain the confidentiality of the Confidential Information; (ii) not to disclose such information to any third party without prior written consent from the Disclosing Party; (iii) to use the Confidential Information solely for the purpose stated above; and (iv) to take all reasonable precautions to protect the confidentiality of the Confidential Information.
Confidential Information does not include information that: (i) was publicly known at the time of disclosure; (ii) becomes publicly known through no fault of the Receiving Party; (iii) is disclosed with written consent from the Disclosing Party; or (iv) is independently developed by the Receiving Party without use of the Confidential Information.
This Agreement will commence on the Effective Date and will continue in effect until terminated by either party with [Specify Notice Period] written notice. The obligations of confidentiality will survive termination for a period of [Specify Duration].
This Agreement will be governed by and construed in accordance with the laws of [Jurisdiction].
